So which one of the sentence is true or I am missing something!?
Both are true your just not reading it right.

The first sentence says that you cannot display ads that are formatted to use the same layout and colors as the Google ads. The second statement says the same thing but tells you its your responsibility to make sure they don't have the same colors and layout...

The idea is stop you (the user) getting confused between what ads are who's.
